Invest UP Letter of Comfort: A Real LOC Success Story

Invest UP Letter of Comfort: A Real LOC Success Story from Our Advisory Desk

A Letter of Comfort, or LOC, is the document that tells an investor in Uttar Pradesh that the state stands behind the incentives promised under its industrial policy. Getting one is not a single filing. It is a sequence of applications, reviews, queries and committee stages, and it rewards teams that stay organised from the first day.

Crispy City Foods Private Limited has now received its Invest UP Letter of Comfort, and our team supported the company from application to approval. This post explains what an LOC is, how the process works, and what that support looked like in practice.

What is an Invest UP Letter of Comfort (LOC)?

A Letter of Comfort is a commitment from the Uttar Pradesh government, issued through Invest UP, that incentives will be provided once the investor meets the eligibility criteria and conditions under the Uttar Pradesh Industrial Investment and Employment Promotion Policy 2022. It is the first formal milestone on the incentive journey.

An LOC is not the incentive payment itself. It is the assurance that the project qualifies. The money is claimed and disbursed later, after the unit is set up and the conditions are met. Eligibility depends on the nature, size and location of the project, so assessing it before filing matters.

How the LOC process works

Invest UP publishes its process flow for the pre-commercial-operations stage. In simple terms, it looks like this. The exact path can vary from case to case.

  1. Application on OIMS. The investor submits the application, with the required documents, on Invest UP’s Online Incentive Management System. The checklist includes a CA-certified Detailed Project Report (DPR), along with other documents depending on the project and the incentive option.
  2. IIDC review. The application is reviewed at the office of the Infrastructure & Industrial Development Commissioner, and an acknowledgement certificate is issued.
  3. Evaluation Committee. The application is presented to the Evaluation Committee. Queries raised by the departments are answered through the portal.
  4. Empowered Committee or High-Level Empowered Committee. Depending on the case, the proposal moves to one of these committees for recommendation.
  5. Approval and issuance. After approval at the required level (the Industry Minister or the Cabinet, as applicable), the LOC is issued.

Every stage depends on the one before it. A gap in the documents at step 1 tends to resurface as a query at step 3.

The client: Crispy City Foods Private Limited

Crispy City Foods Private Limited approached us for support with its Invest UP application. We worked with the team through the full process, and the company has now received its LOC from Invest UP. This is another milestone in our Invest UP advisory work.

What we did for Crispy City Foods

Our involvement ran through the whole process rather than one stage of it:

  • Application submission: preparing and filing the application correctly
  • Department coordination: staying in touch with the concerned department at each stage
  • Document preparation: building the documentation the application required
  • Timely submission: filing within the required windows
  • Interview support: preparing the client for the review stage
  • Continuous follow-ups: tracking the application between stages so it did not sit idle

None of this is dramatic work. It is steady coordination and careful paperwork, and that is usually what separates a smooth approval from a delayed one.

What we have learned from Invest UP applications

A few points from our experience that apply to most investors, not only this client:

Your documents have to agree with each other. The project report, the financial documentation and the application are read together. If they tell different stories, queries follow.

Eligible capital investment needs to be assessed before filing, not after. Knowing which investment qualifies, and for which incentive option, shapes the whole application. It is much easier to get right at the start.

Follow-ups are part of the work. Applications move through several offices and committees. Someone has to track where the file is and what is pending.

Prepare for the review. Being able to explain your project clearly, and consistently with your documents, makes the review stage smoother.

What happens after the LOC

Receiving the LOC is a milestone, not the finish line. Invest UP’s published flow also covers what comes next: after commercial operations begin, the investor files a capital declaration (the published timeline is within 90 days of the date of commencement of commercial operations), and later a capital or Net SGST claim for disbursement. Confirm current timelines and requirements on the Invest UP portal for your own project, because they can change.

The practical advice is to keep clean records of investment from day one, since the claims stage relies on them.

Frequently Asked Questions (FAQ)

What is an Invest UP Letter of Comfort (LOC)? A Letter of Comfort is a commitment from the Uttar Pradesh government, issued through Invest UP, that incentives will be provided once the investor meets the eligibility criteria and conditions under the Uttar Pradesh Industrial Investment and Employment Promotion Policy 2022.

Is the LOC the same as receiving the incentive? No. The LOC confirms that the project qualifies. The incentive is claimed and disbursed later, after the unit is set up and the prescribed conditions are met.

Where do I apply for an Invest UP LOC? Applications are submitted on Invest UP’s Online Incentive Management System (OIMS). Invest UP’s published process flow shows investors reaching OIMS through the Nivesh Mitra portal.

What documents are required for an Invest UP LOC application? The checklist includes a CA-certified Detailed Project Report, along with other documents that depend on the project and the incentive option. Check the current checklist on the Invest UP portal before filing.

How long does it take to get an LOC? There is no fixed timeline. It depends on the project category, the committee schedule and how quickly departmental queries are answered. A complete and consistent application helps avoid avoidable delay.

Which incentives can the LOC cover? The application specifies the incentive option sought, such as capital subsidy or Net SGST reimbursement, as available under the policy for the project’s category.

Can a business based outside Uttar Pradesh apply? Yes, if the project is being set up in Uttar Pradesh. The policy applies to the project, not to where the investor is headquartered.

Do I need an advisor to apply? The application is filed by the investor, and some documents, such as the Detailed Project Report, need CA certification. Many investors choose an advisor for the rest, because the process is document-heavy and involves several stages of coordination.

Does MyLegalTax guarantee an LOC? No. Approvals are decided by the government committees. We support the application with documentation, coordination and follow-ups so that it is complete and well presented.
