Private Limited Company Registration in India: Process, Documents, Cost and Timeline (2026)
Private limited company registration in India is done entirely online through the Ministry of Corporate Affairs (MCA) portal, using a single integrated form called SPICe+. A clean application typically takes about 7 to 15 working days from filing to the Certificate of Incorporation. There is no minimum capital requirement, and you need at least two directors and two shareholders.
That is the short version. The rest of this guide covers who can register, which documents to keep ready, each step of the process, what it costs, how NRIs and foreign nationals can register, and what you must do after incorporation. We are a firm of Chartered Accountants and business advisors, and this is written from the paperwork we see every week.
Private limited company registration at a glance
- Governing law: Companies Act, 2013
- Where you file: MCA portal, using the SPICe+ form (INC-32)
- Minimum directors: 2 (at least one must be a resident in India)
- Minimum shareholders: 2
- Minimum capital: none
- Typical time: about 7 to 15 working days with clean documents
- You receive: Certificate of Incorporation with CIN, along with PAN and TAN

Is a private limited company the right structure?
Before you file anything, check that this is the structure you actually need. The common alternatives are an LLP, a One Person Company (OPC) and a sole proprietorship.
| Private Limited | LLP | OPC | Sole Proprietorship | |
|---|---|---|---|---|
| Separate legal entity | Yes | Yes | Yes | No |
| Liability of owners | Limited | Limited | Limited | Unlimited |
| Minimum members | 2 | 2 | 1 (plus a nominee) | 1 |
| Raising equity funding | Best suited | Difficult | Limited | Not possible |
| Compliance load | Higher | Moderate | Moderate | Lowest |
A private limited company is usually the right choice if you plan to raise investment, issue shares or ESOPs, or want the credibility that vendors, banks and larger clients tend to expect. An LLP can suit professional practices and smaller partnerships that want lighter compliance. If you are unsure, it is worth a short conversation before registering, because changing structure later takes time and money.
Eligibility and minimum requirements
- Directors: at least two. At least one director must be a resident in India, meaning someone who has stayed in India for 182 days or more in the previous calendar year.
- Shareholders: at least two, and at most 200. A director can also be a shareholder.
- Registered office: an address in India. It does not have to be commercial. Many founders use a rented or owned residential property with the right proof.
- Name: must be unique and must not conflict with an existing company or trademark.
- Digital Signature Certificate (DSC): every director needs one, because the forms are signed electronically.
Documents required
For directors and shareholders (Indian nationals):
- PAN card
- Aadhaar card
- Proof of address, such as a bank statement, utility bill or voter ID
- Passport-size photograph
- Email address and mobile number
For the registered office:
- Latest utility bill (electricity, water or gas), usually not older than two months
- Rent agreement and a No Objection Certificate from the owner, if the premises are rented
- Property ownership proof, if the premises are owned
Keep names, dates of birth and addresses identical across all documents. Many delays begin with a mismatch between two papers that were meant to say the same thing.
Step-by-step registration process (SPICe+ on the MCA portal)
- Get Digital Signature Certificates for all proposed directors.
- Create or log in to your MCA portal account. The portal is now on the MCA V3 system.
- Reserve the company name in Part A of the SPICe+ form. Check name availability and trademark conflicts first, because a rejected name restarts the clock.
- Fill Part B of SPICe+ with the details of the company, directors, subscribers, registered office and share capital. SPICe+ combines incorporation, DIN allotment, PAN, TAN, EPFO, ESIC and optional GST registration into one filing.
- Upload the Memorandum (MoA) and Articles of Association (AoA) along with the supporting documents, and any linked forms such as INC-9, the declaration by the subscribers and first directors.
- Get the documents certified by a professional where required.
- Pay the government fees and stamp duty online and submit the form.
- Receive the Certificate of Incorporation. It carries your Corporate Identification Number (CIN) and the date of incorporation, and PAN and TAN are issued along with it.
How long does it take?
Published guides quote anywhere between 5 and 15 working days, and the realistic answer is about 7 to 15 working days. Time depends mostly on three things: whether the name is approved the first time, whether the documents match, and how quickly the MCA examines the form. If the Registrar raises a query, the clock extends until you reply.
How much does it cost?
The total has three parts:
- Government filing fees: these depend on the authorised capital. For lower authorised capital the MCA fee is minimal or nil.
- Stamp duty: this varies by the state of the registered office, so the same company can cost different amounts in different states.
- Professional fees: these depend on who handles the filing and how complex the structure is.
Published guides in 2026 quote all-inclusive ranges of roughly ₹7,000 to ₹25,000 for a straightforward registration. Treat that as indicative, not a quote. Always confirm the current fee schedule on the MCA portal and your state’s stamp duty before budgeting.
Registering a private limited company as an NRI or foreign national
NRIs and foreign nationals can be directors and shareholders of an Indian private limited company, with a few conditions:
- At least one director must be a resident in India, so a company run entirely from abroad needs a resident director.
- The registered office must be in India.
- Documents signed or issued abroad usually need to be notarised or apostilled, so allow extra time.
- If the company receives foreign investment, there are FEMA reporting requirements to the RBI after the shares are allotted, and these have prescribed timelines.
Because the process is online, an NRI can complete most of it without travelling to India, provided the documents are prepared correctly.
What to do after incorporation
Getting the certificate is the beginning of your compliance, not the end of it. Typical early steps are:
- Appoint the first auditor within the prescribed period after incorporation, which is 30 days under the Act.
- Open the company bank account and deposit the subscribed share capital.
- File the declaration of commencement of business (INC-20A) within 180 days, where the company has share capital.
- Register for GST if your turnover or the nature of your supplies requires it.
- Register under MSME/Udyam if you qualify, since it opens access to benefits and schemes.
- Consider trademark registration for your brand name and logo.
Every year after that, a private limited company must file its financial statements and annual return with the MCA, file its income tax return, hold board and general meetings, and keep statutory registers. Directors also have an annual KYC filing. Missing these filings carries late fees, so set up a compliance calendar from the first month.
Common mistakes that delay registration
- Choosing a name that is too close to an existing company or trademark. Check before you reserve.
- Mismatched details across documents. A middle name present in one paper and missing in another is enough to trigger a query.
- Weak address proof for the registered office. Old utility bills or a missing owner’s NOC are frequent causes.
- Wrong share capital planning. Authorised capital affects fees and stamp duty, so decide it deliberately.
- Ignoring compliance after incorporation. Late filings add up quickly.

What is the minimum capital required for a private limited company?
There is no minimum paid-up capital requirement. You can register with any amount of authorised capital, although fees and stamp duty depend on the amount you choose.
How many directors and shareholders are required?
A private limited company needs at least two directors and at least two shareholders, with a maximum of 200 shareholders. At least one director must be a resident in India.
Can one person register a private limited company?
Not a standard one, since it needs at least two members. A single founder can register a One Person Company (OPC) instead, or bring in a second shareholder.
Can NRIs and foreign nationals register a private limited company in India?
Yes. They can be directors and shareholders, but at least one director must be a resident in India, the registered office must be in India, and documents signed abroad generally need to be notarised or apostilled.
What is the SPICe+ form?
SPICe+ (INC-32) is the integrated online form on the MCA portal used to incorporate a company. It combines name reservation, incorporation, DIN allotment, PAN, TAN, EPFO, ESIC and optional GST registration in one filing.
Do I need a commercial office to register a company?
No. A residential address can be used as the registered office, with proof such as a recent utility bill and, if rented, a rent agreement and a No Objection Certificate from the owner.
What is the difference between a private limited company and an LLP?
Both give limited liability. A private limited company is better suited to raising equity investment and issuing shares, while an LLP generally has a lighter compliance load and suits professional practices and smaller partnerships.
Is GST registration mandatory for a new private limited company?
Not automatically. It depends on your turnover, the nature of your supplies, and whether you sell across states or online. Many businesses register early for credibility and input tax credit.
What compliances apply after company registration?
Typically the first auditor appointment, the declaration of commencement of business, annual financial statements and annual return filings with the MCA, income tax return filing, director KYC, and holding the required meetings. Exact requirements depend on the company.
Can I register a company online from any city in India?
Yes. The entire process runs online through the MCA portal, so the location of the founders does not matter, as long as the registered office address is in India.
